Use of the Services

These Terms of Use (“Terms”) govern access to and use of the Continuity website, Folio, Agent Continuity, Brand Continuity and related products, integrations, beta features and services (collectively, the “Services”) provided by Spuree Labs, Inc. (“Continuity,” “we” or “us”).

By accessing or using the Services, you agree to these Terms. If you use the Services for an organization, you represent that you have authority to bind it, and “you” includes that organization.

Accounts and access

Some features require an account, invitation or approved beta access. You agree to provide accurate information, keep it current and protect your credentials. You are responsible for activity under your account and for promptly notifying us of suspected unauthorized access.

We may suspend or limit access if we reasonably believe an account violates these Terms, presents a security risk, could harm the Services or others, or must be restricted by law.

Your content and project materials

You retain ownership of files, prompts, documents, brand assets, creative materials, comments, project data and other content you upload, import, submit or create through the Services (“Your Content”).

You grant us the rights needed to host, copy, process, transmit, display and otherwise use Your Content to provide, secure, support and improve the Services at your direction. You are responsible for having the rights and permissions needed to provide Your Content and to share it with collaborators or connected services.

AI agents and generated outputs

The Services may let you connect or use AI agents and generative systems. Outputs may be incomplete, inaccurate, similar to content produced for others, or unsuitable for your purpose. You are responsible for reviewing outputs before relying on, publishing or using them.

You must configure permissions appropriately and supervise agent activity. You may not represent AI-generated content as human-created when doing so would be deceptive or unlawful. Rights in generated outputs may depend on applicable law, Your Content and third-party provider terms.

Third-party services and integrations

You may connect third-party services, including Google services, Zoom, AI providers and custom agents. When you connect a service, you authorize Continuity to access and process data from it as needed to provide the feature you request.

Third-party services are governed by their own terms and policies. We do not control and are not responsible for their availability, content, security or separate practices.

Acceptable use

You may not use the Services to:

  • violate law or the rights of others, including privacy, publicity and intellectual-property rights;
  • upload, create or distribute unlawful, harmful, abusive, deceptive or infringing content;
  • gain unauthorized access to accounts, systems, projects or data;
  • disrupt, overload, scrape, reverse engineer or bypass access or security controls, except where law prohibits such restrictions;
  • introduce malware or use the Services for fraud, spam or security attacks; or
  • use agents or automated systems in a way that violates these Terms or applicable third-party rules.

Privacy and data protection

Our Privacy Policy describes how we collect, use and disclose personal information. By using the Services, you acknowledge that information will be processed as described there and as necessary to provide the Services.

Beta services and availability

Some Services are offered as founding-beta, preview or evaluation features. They may be incomplete, change without notice, have limited support, or be suspended or discontinued. You should not rely on beta Services for critical or irreversible workflows without appropriate backups.

We may modify, add or remove features. We aim to keep the Services available but do not guarantee uninterrupted or error-free operation.

Fees and paid Services

If you purchase paid Services, you agree to pay applicable fees and taxes. Order forms, subscriptions or written agreements may include additional terms and will control if they conflict with these Terms for the relevant purchase.

Continuity intellectual property

We and our licensors retain all rights, title and interest in the Services, including software, interfaces, designs, technology and trademarks. Except for rights expressly granted in these Terms, no rights are transferred to you.

Feedback and suggestions may be used by us without restriction or obligation.

Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONTINUITY AND SPUREE LABS, INC. WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, GOODWILL OR DATA. OUR TOTAL LIABILITY FOR CLAIMS RELATED TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE TWELVE MONTHS BEFORE THE EVENT, OR ONE HUNDRED U.S. DOLLARS IF NO FEES WERE PAID.

Termination

You may stop using the Services at any time. We may suspend or terminate access if you violate these Terms, create risk for us or others, or if continued access would be unlawful.

Provisions that by their nature should survive termination will survive, including those concerning content rights, intellectual property, disclaimers, liability and disputes.

Governing law and disputes

These Terms and disputes arising from them or the Services are governed by Delaware law, without regard to conflict-of-laws rules. State and federal courts located in Delaware have exclusive jurisdiction over disputes not otherwise resolved, and you consent to personal jurisdiction and venue there. Either party may seek appropriate injunctive or equitable relief.

Changes and contact

We may update these Terms. If changes are material, we will provide notice as appropriate. Updated Terms become effective when posted unless a later date is stated.
